Outsauce Agency Lead Generation Agreement
(Performance-Based 5-Lead Offer)This Agreement is entered into by and between:
Outsauce Agency Pty Ltd (ABN 48 407 327 435), ("Agency", "we", "our")
AND
[Client Name], of [Client Business Name] ("Client", "you", "your").Effective as of the date of acceptance by the Client.---1. Scope of ServicesOutsauce Agency agrees to provide website form submission outreach services ("Services") aimed at generating inbound leads for the Client.A "Lead" is defined as an inbound email or contact form response from a valid business expressing genuine interest in the Client’s services, including verifiable business contact details.Campaigns are tailored to the Client’s specified target market based on information provided in the intake form.---2. Eligibility for Free Leads OfferOutsauce Agency reserves the right to review each submitted campaign request and determine eligibility for the free leads offer.The Agency may, at its sole discretion, decline to provide services under the free leads offer if:The Client's business is outside the industries, markets, or service areas supported by the Agency;The Client’s product or service is deemed unsuitable for lead generation via outreach;The Client provides insufficient, unclear, or misleading information.If declined, the Client will be notified promptly via email, and no fees will be charged.---3. Performance Milestone and Payment TermsThe Client agrees to pay a one-time service fee of $197 AUD only upon delivery of five (5) qualified leads.Upon confirmation that 5 qualified leads have been delivered, Outsauce Agency will issue an invoice payable within 7 calendar days.---4. Campaign OptimisationTo maximize lead quality and performance, Outsauce Agency may adjust targeting criteria, messaging, and outreach strategy during the campaign without prior notice to the Client.---5. Client ResponsibilitiesThe Client agrees to:Provide accurate and complete business information via the intake form.Supply a clear description of target customers and services.Monitor the designated email address to respond to inbound leads.Failure to provide sufficient information may delay or void campaign eligibility.---6. CancellationThe Client may cancel the campaign at any time prior to the delivery of five (5) qualified leads by providing written notice via email.If five (5) qualified leads have already been delivered, payment of the $197 service fee remains due and payable.---7. Limitation of LiabilityOutsauce Agency is not responsible for the Client’s conversion of leads into paying customers.The Agency’s responsibility is limited strictly to the generation and delivery of qualified inbound leads.The Agency shall not be liable for indirect, incidental, special, or consequential damages arising from the use of its Services.---8. ConfidentialityBoth parties agree to maintain confidentiality regarding proprietary, business, and client information disclosed during the campaign.---9. Governing LawThis Agreement shall be governed by the laws of Queensland, Australia.---10. Entire AgreementThis document constitutes the entire agreement between the Client and Outsauce Agency regarding the described Services and supersedes all prior communications, understandings, or agreements.---Acceptance:By signing below, or the intake form, the Client acknowledges and agrees to these terms.
